ROLE SUMMARY

 

The General Counsel provides legal, technical and professional advice and recommendations to the executive and management team of Cheyenne Regional Medical Center and its affiliated system partners. Also provides leadership and management over multiple related divisions as a member of the Executive team.

 

CORE RESPONSIBILITIES

 

  1. Coordinates legal activities in support of the Medical Center and its affiliated partners.

 

  1. Manages the relationships with outside counsel to ensure appropriate work is being performed in-house and outsourced.

 

  1. Serves as Executive Team member and manages multiple operating departments to include, but not limited to Contract Administration, Compliance, and Risk Management.  Reviews, analyzes and amends agreements and gives legal advice to Cheyenne Regional officers and other personnel regarding contracts, business arrangements, proposals, agreements and real estate transactions.

 

  1. Provide written and oral legal advice to Cheyenne Regional officers and directors including identification and analysis of issues and recommended remedial action on routine and special projects.

 

  1. Negotiate, prepare, review, analyze and advise on transactions, contracts and agreements proposed between Cheyenne Regional Medical Center (or one of its subsidiaries) and third parties.

 

  1. Communicates System wide and outside the system; primarily deals with System executives and administrators and with outside (non-Cheyenne Regional) entities and individuals representing vendors, buyers or sellers, landlords, or tenants, real estate agents and the like.

 

  1. Oversee contracts department operations to review, analyze and negotiate contracts, tracking for all contracts (including signed and unsigned agreements) and interfacing with other departments (e.g. Accounts Payable, Materials Management).  Supervise an administrative assistant, a contracts coordinator, and a part-time secretary all who will provide support as determined by their job descriptions and other duties as assigned.

 

  1. Meet with various entities and individuals to assist in negotiating, preparing and finalizing business arrangements and real estate transactions.

 

  1. Provide education, training and assistance to officers and Administrators related to legal details of negotiation, review procedures and consummation of a contract. Monitor corporate compliance with federal, state and local governmental and agency rules and regulations and Cheyenne Regional policies in connection with the corporation's transactions.

 

  1. Provide assistance to various departments and Cheyenne Regional officers in dealing with contractors, vendors, consultants and independent contractors on negotiations strategies and remedies for default.  Assist with oversight of real estate brokers and agents and real estate transactions.  Identify opportunities to consolidate or streamline lines of business or vendor relationships.

  1. Requires good writing and interpersonal skills and the ability to communicate legal thoughts, concerns and ideas in a clear and understandable fashion to non-legal listeners.

 

  1. Requires good interpersonal and communication skills and an ability to offer reasonable alternatives or options to adverse parties; need to be able to reduce complex thoughts and agreements to writing.

 

  1. Requires ability or organize and prioritize job functions and supervise others; need good interpersonal skills and ability to operationalize policies.

 

  1. Requires negotiation skills and self confidence to interact with third parties doing business with Cheyenne Regional and to respond to conflicting internal pressures.

 

  1. Requires ability to read and understand lengthy governmental rules and regulations, and develop and implement policies and apply them.

 

  1. Requires use of Dictaphone, telephone, personal computer, fax and word processor, note taking using pen/pencil and paper, personal computer, Wyoming Revised Statutes, and Cheyenne Regional policies.

 

MINIMUM REQUIREMENTS

 

·            J.D. or L.L.B. degree from an American Bar Association accredited law school, admission to the Wyoming Bar and five or more years of experience working knowledge of legal principles governing hospital/physician relationships, tax-exempt organizations and fraud and abuse laws is required. Some familiarity with managed care, insurance, intellectual property, software licensing, employment, equipment sales, financing, real estate and construction law is preferred; must have excellent written and verbal skills and good interpersonal skills; Computer capability and word processing are required.
