Job Summary: The Chief General Counsel, in partnership with Central Maine Healthcare (CMH) management, is responsible for planning, directing, and managing all legal services for the Corporation to assure corporate and regulatory compliance, while serving as the primary legal advisor to the President and Chief Executive Officer and the Board of Trustees. This individual will be responsible for collaborating on the legal aspects of the following areas: enterprise risk management, regulatory and compliance issues, commercial, government, and physician contracts, intellectual property, governance and board-level communication and selection, real estate, mergers and acquisitions, and oversight and negotiation of outside counsel.

The Chief General Counsel will also be responsible for building and staffing a department to manage the growing legal needs of CMH, while looking for continued opportunities for better fiscal management and discipline of the internal legal function, as well as the use of outside firms. This individual will manage an average annual legal spend of $1,000,000.00 dollars, as well as the departmental legal staff and budget.

Regulatory Requirements:

·                    Licensed or eligible for licensure to practice law in the State of Maine. 

·                    A minimum of ten years of progressive in-house corporate or healthcare legal practice experience in either a complex corporate or hospital system setting in a competitive market. 

·                    Demonstrated expertise in a broad range of legal issues including contracts, fraud and abuse, privacy/confidentiality, employment, litigation and compliance issues, as well as other general corporate matters.  

·                    Has established a high level of credibility among peers as a leader in the healthcare legal practice field and experience in working with boards. 

·                    Active involvement in own professional development through professional organizations




·         A relationship builder who establishes trust quickly and easily across multiple constituencies - peers, senior leadership, direct reports, and medical staff. 

·         Strong communication and consultation skills: this individual must demonstrate superior communication skills, including listening, oral, and written, in a manner that is forthright, fact-based, and non-emotional. 

·         Possesses the highest integrity and ethics, and is fair and balanced in all dealings.  Can be courageous in taking on and challenging differing opinions. 

·         An executive presence and bearing that assures those interacting with this individual of competence and confidence in all dealings.
